ALL-CATALOG ENTERPRISE LICENSE AGREEMENT

(Version 1.0 – June 2025)

Licensor – The Mushroom Network, LLC & Alexander B. Levin, d/b/a Myco-Verse Productions™ (“MVP”).
Licensee / Enterprise – The single corporation, LLC, nonprofit, or government body named on the invoice.
Catalog – Every master recording, stem, and future release owned by MVP on the effective date (and any new releases issued during the Term, unless excluded in writing).

1 · Grant of Rights

Upon receipt of the one-time Enterprise License Fee (quoted separately), MVP grants Licensee a world-wide, non-exclusive, non-transferable, perpetual sync license to:

1.1 SynchronizeEmbed any Track from the Catalog into unlimited Projects produced or commissioned by Licensee.
1.2 AdaptTrim, loop, EQ, time-stretch, or otherwise edit each Track solely inside Licensee Projects.
1.3 Distribute / PerformRelease Projects on all media (broadcast, streaming, social, OTT, VR/AR, theatrical, internal network, events).
1.4 MonetizeGenerate revenue via ads, subscriptions, ticket sales, sponsorships, paywalls, or in-app purchases.

Note: Rights extend to wholly owned subsidiaries of Licensee provided the parent entity maintains at least 80 % ownership and assumes full liability.

2 · Limitations & Prohibitions

  1. No Stand-Alone Distribution – Tracks may not be offered, sold, or streamed as isolated audio files, sample packs, NFTs, or DSP releases.

  2. No Ownership Claims – Licensee shall not register any Track (or derivative) with a PRO, distributor, fingerprinting or monetization service as its own.

  3. No Harmful Content – Tracks may not appear in defamatory, hateful, or illegal material.

  4. No Resale or Sublicense – Except for embedding within Projects, Licensee may not transfer or sublicense Tracks to third parties.

  5. NFT / Blockchain Use – Prohibited without a separate, written addendum.

  6. Remix Rule – Remixes allowed only inside Projects and must never be marketed as stand-alone releases.

3 · Attribution

Credit is requested but optional for Enterprise clients. If furnished, use:

“Music by The Mushroom Network / Myco-Verse Productions™”

An Attribution Badge Kit (SVG/PNG) is supplied for ease of placement.

4 · License Key Registry & Audit

  • Each Track contains an inaudible watermark and GUID.

  • All downloads are logged to Licensee’s enterprise portal.

  • MVP may audit usage annually with 15 days’ written notice. Audit limited to verifying Track deployment; confidential business data remains protected.

5 · Anti-Piracy & Indemnity

Licensee must deploy reasonable DRM or content-ID safeguards. Licensee agrees to assist MVP in takedowns of infringing third-party uploads that misuse Enterprise-licensed Projects.

6 · Fees & Liquidated Damages

  • Enterprise License Fee – custom-quoted; payable in full before first use.

  • Unauthorized Stand-Alone Release – liquidated damages of $15,000 USD per Track, plus statutory damages, attorneys’ fees, and takedown costs.

7 · Termination

Material breach uncured after 30 days’ notice empowers MVP to terminate. Licensee must halt new distribution of affected Projects until compliant.

8 · Ownership

All copyrights, neighboring rights, and moral rights remain with MVP. This agreement conveys usage rights only.

9 · Governing Law & Venue

Florida law; venue = Suwannee County, Florida, USA. International Licensees consent to U.S. jurisdiction for enforcement.

10 · Entire Agreement

This Agreement, plus any signed addenda (e.g., WAV, Attribution Waiver), supersedes all prior discussions. Amendments require written signatures by both parties.

Payment or first commercial deployment of any Track constitutes full acceptance.
